Preamble
These General Terms and Conditions (GTC) govern the business relationship between you (hereinafter referred to as "Customer" or "Client") and Vita Loom Ecosystem Ltd (hereinafter referred to as "Provider" or "VLE").
The Provider is a strategic architect and infrastructure enabler for the Blue Economy. These GTC apply to:
a) The licensing of digital strategic assets (e.g., Blueprints, Intelligence Reports).
b) The booking of strategic workshops, audits, and advisory services.
c) The design and project management of infrastructure (Port Labs).
For complex mandates (e.g., "The VLE Impact Blueprint" or "Port Lab Deployment"), the individually concluded Master Services Agreements (MSA) or Proposals take precedence. These GTC apply supplementary.
Section 1: Contractual Partners & Scope

1.2. B2B Focus
This offer is exclusively directed at businesses, foundations, public institutions, and professional investors (B2B/B2G). We do not contract with consumers.
PART A: Institutional Strategic Licenses (Digital Assets)
Section 2: Subject Matter
The subject matter is the granting of an Institutional Strategic License for digital content (e.g., "The Impact Architect" Playbook, Strategic Blueprints) provided via download or secure data room.
Section 3: License & Intellectual Property
The Customer acquires a non-transferable, non-exclusive right to use the content for internal organizational purposes only. Redistribution, resale, publication, or sub-licensing to third parties is strictly prohibited. All intellectual property remains with VLE.
Section 4: No Right of Withdrawal
As this transaction involves digital content provided for professional use (B2B), the performance of the contract begins immediately upon access. The Customer acknowledges that there is no right of withdrawal or refund once the digital intelligence has been accessed.
PART B: Strategic Services & Advisory
Section 5: Booking & Cancellation
For standardized services booked directly (e.g., "Strategy Audit", "Expert Call"):

Bookings are binding upon confirmation.

Cancellations are free of charge up to 48 hours before the scheduled appointment.

Cancellations made less than 48 hours in advance will be charged at 100%.
Section 6: Priority of Individual Agreements
For comprehensive consulting mandates, the specific terms agreed upon in the Proposal or Service Agreement take precedence over these GTC.
PART C: Port Labs & Infrastructure Services
Section 7: Role of the Provider (Architectural Shield)
regarding "VLE Port Labs" or similar infrastructure projects, VLE acts strictly as the Strategic Architect and Project Manager.

We provide the design specifications, vendor selection, and operational blueprints.

We do not act as the general contractor or manufacturer of physical goods unless explicitly stated in a separate Purchase Agreement.

The Client typically contracts directly with the local manufacturing partner (fabrication/modification) based on VLE’s specifications.
Section 8: Limitation of Liability for Infrastructure
VLE is liable for the accuracy of the strategic design and specifications. VLE is not liable for construction defects, delays caused by third-party manufacturers, or operational failures resulting from improper maintenance by the Client.
PART D: Financial & Final Provisions
Section 9: Prices, Payment & VAT

All prices are net of statutory Value Added Tax (VAT), if applicable.

Currency: Payments may be made in EUR, GBP, or USD as stated in the invoice.

Reverse Charge: For B2B clients in the EU, the "Reverse Charge" mechanism applies (Services provided by a UK entity to an EU entity). The recipient is liable for VAT in their local jurisdiction.
Section 10: Liability
The Provider is liable for intent and gross negligence. Liability for slight negligence is excluded. In no event shall the Provider be liable for lost profits, indirect damages, or consequential harm. The Provider does not guarantee specific economic results (e.g., successful funding) derived from the application of its strategies. We provide the architecture; execution and market success remain the Client's responsibility.
Section 11: Choice of Law & Jurisdiction
These GTC shall be governed by and construed in accordance with the laws of England and Wales. The exclusive place of jurisdiction for all disputes arising from this contractual relationship is London, United Kingdom.
